Terms of Use

These Terms of Use govern your access to and use of Metrum AI, Inc.'s hosted GenAI Smart Router documentation, optional support chat, and related public web resources (collectively, the Site). By accessing or using the Site, you agree to these terms. If you do not agree, do not use the Site.

Site purpose and commercial agreements​

The Site provides information about Metrum products and services. It is not a binding offer, implementation commitment, or professional advice. Commercial use of GenAI Smart Router requires a valid Metrum-issued license and, where applicable, a separately executed agreement. If a separately executed agreement conflicts with these terms, that agreement controls for its subject matter.

Acceptable use​

You may use the Site only lawfully and in a manner that does not harm, disrupt, or interfere with the Site, its users, or Metrum. You must not attempt to gain unauthorized access; probe, scan, or test Site security without authorization; introduce malicious code; interfere with Site operation; or use the Site to infringe another party's rights.

Intellectual property​

The Site and its content, including software, documentation, trademarks, and logos, are owned by Metrum or its licensors and are protected by applicable intellectual-property laws. These terms grant no ownership rights. You may use Site content for your internal evaluation of Metrum products, but may not copy, modify, distribute, or publicly display it except as permitted by law or with Metrum's written permission.

Third-party services​

The Site may link to or integrate with third-party services. Those services are subject to their own terms and privacy practices. Metrum does not control and is not responsible for third-party services.

Disclaimers​

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRUM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. METRUM DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE. METRUM'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID METRUM FOR USE OF THE SITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Changes and termination​

Metrum may modify, suspend, or discontinue the Site or these terms at any time. Updated terms apply when posted. Metrum may suspend or terminate Site access for a violation of these terms or to protect the Site, its users, or Metrum.

Governing law​

Texas law governs these terms, excluding its conflict-of-laws rules. You and Metrum consent to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising from these terms or the Site, except where applicable law requires otherwise.
