End User License Agreement

This End User License Agreement (the EULA) is between Metrum AI, Inc. (Metrum) and the individual or entity installing, accessing, or using the GenAI Smart Router software and accompanying documentation (collectively, the Software). By installing, accessing, or using the Software, you agree to this EULA on your own behalf or for the entity you represent. If you do not have authority to bind that entity, or do not agree to this EULA, do not install, access, or use the Software.

1. License grant​

Subject to this EULA and a valid Metrum-issued license, Metrum grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your internal business purposes and within the features, deployment scope, volume, and time limits encoded in the applicable license.

2. Evaluation and commercial use​

An evaluation or trial license may be used only for its authorized evaluation purpose and may not be used for production workloads unless the applicable license or a separate written agreement expressly permits it. Commercial use requires a valid commercial license and may also require a separately executed agreement. If a separately executed agreement conflicts with this EULA, that agreement controls for its subject matter.

3. Restrictions​

Except as permitted by applicable law or Metrum's written permission, you must not: copy the Software except for reasonable backup and archival purposes; modify, translate, adapt, or create derivative works; reverse engineer, decompile, or disassemble the Software; rent, lease, sell, sublicense, distribute, or make the Software available to a third party; remove proprietary notices; circumvent license, security, or usage controls; or use the Software in excess of the applicable license limits.

4. Ownership​

The Software is licensed, not sold. Metrum and its licensors retain all right, title, and interest in and to the Software, documentation, trademarks, and related intellectual property. No implied rights are granted.

5. Third-party components​

The Software may include third-party components that are subject to separate license terms. Those terms apply to their respective components and do not expand the rights granted by this EULA.

6. Support and updates​

Support, maintenance, and updates are provided only when included in an applicable license or separately executed agreement. Metrum has no obligation to provide support, maintenance, updates, or new versions under this EULA alone.

7. Term and termination​

This EULA begins when you first download, install, access, or use the Software and continues until terminated. It terminates automatically if you violate this EULA or the applicable license expires or is terminated. Upon termination, you must stop using and destroy all copies of the Software, except copies required to be retained by law or secure backups that are inaccessible in ordinary use. Sections concerning ownership, disclaimers, limitation of liability, governing law, and terms that by their nature should survive will survive termination.

8. Disclaimer of warranties​

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRUM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. METRUM DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS EULA. METRUM'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID METRUM FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

10. Export compliance​

You must comply with applicable export-control and sanctions laws in connection with the Software. You represent that you are not prohibited from receiving the Software under those laws.

11. Governing law​

Texas law governs this EULA, excluding its conflict-of-laws rules. You and Metrum consent to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising from this EULA, except where applicable law requires otherwise.

12. Changes and contact​

Metrum may update this EULA for future downloads, installations, access, or use by publishing an updated version. Questions about this EULA may be sent to contact@metrum.ai.
